Terms of Service & Beat Licensing Agreement

Welcome to FRMWRD (frmwrd.com). By accessing this website, previewing audio, or purchasing any beat licenses or digital goods, you agree to comply with and be bound by the following Terms & Conditions. If you do not agree to these terms, please do not purchase or use any materials from this website.
1. General Overview & Intellectual Property
All musical compositions, beat instrumentals, audio recordings, graphic assets, and text available on FRMWRD are the sole intellectual property of FRMWRD / BabushkaBoi999 (the “Producer”) and are protected by international copyright laws.
Purchasing a beat from this site grants the licensee (the “Buyer”) a license to use the musical composition according to the specific tier purchased. Unless an Exclusive Rights Agreement is executed, the Producer retains 100% full copyright ownership of the original underlying instrumental.

A. MP3 Lease ($30.00)
- Rights Granted: Non-exclusive commercial license for one (1) single master recording.
- Audio Streams: Up to 100,000 audio streams across platforms (Spotify, Apple Music, YouTube Music, etc.).
- Physical & Digital Sales: Up to 2,500 paid downloads or physical copies (CDs/Vinyl).
- Broadcasting & Radio: No commercial radio/TV broadcasting rights.
- Music Videos: One (1) music video (non-monetized).
B. WAV Lease ($50.00)
- Rights Granted: Non-exclusive commercial license for one (1) single master recording.
- Audio Streams: Up to 500,000 audio streams across all platforms.
- Physical & Digital Sales: Up to 10,000 paid downloads or physical copies.
- Broadcasting & Radio: Up to 2 local radio stations.
- Music Videos: One (1) monetized music video (YouTube).
C. Unlimited Commercial License ($100.00)
- Rights Granted: Non-exclusive commercial license with no cap on streams or sales.
- Audio Streams: Unlimited streams worldwide.
- Physical & Digital Sales: Unlimited sales and units distributed.
- Broadcasting & Radio: Unlimited radio, terrestrial, internet, and commercial airplay.
- Music Videos: Unlimited monetized music videos.
- Track Stems: High-definition stems/trackouts available upon request.

3. Producer Credit Requirements (Mandatory)
In all commercial and non-commercial releases, the Buyer must give appropriate production credit to the Producer. Credit must be written as follows:

4. Publishing & Royalties
- Master Recording: The Buyer owns the master recording of their newly created song (vocals + beat combination).
- Composition / Publishing Split: Standard music industry publishing splits apply to all commercial releases:
- Writer / Lyrics (Buyer): 50%
- Music / Composition (Producer): 50%
- Performance Royalties (PROs like ASCAP, BMI, PRS, etc.) collected on public broadcasts must register BabushkaBoi999 / FRMWRD as the 50% Composer/Producer.
5. Strict Content ID & Copyright Protection Notice
IMPORTANT: You may NOT submit any song containing a non-exclusive beat to YouTube Content ID, Shazam, Meta Rights Manager, or digital distribution copyright automated fingerprinting systems (e.g., DistroKid Content ID, TuneCore Content ID, identifyy).
Submitting non-exclusive beats to automated fingerprinting systems results in false copyright strikes against other artists and the Producer. Violating this clause will result in the immediate termination of your license without refund and may incur legal liability for damages.
6. Prohibited Uses
The Buyer shall NOT:
- Resell, re-license, loan, gift, or sub-license the raw instrumental to any third party.
- Upload the raw, unvoiced beat as standalone audio to streaming platforms, DSPs, or beat marketplaces.
- Use the music in sync licensing (film, video games, TV commercials, Netflix/Hulu) without explicit written synchronization clearance from FRMWRD.
7. Delivery & Refund Policy
- Digital Delivery: All beat files and licenses are delivered automatically and instantly via digital download link upon successful checkout.
- Refund Policy: Due to the intangible, non-returnable nature of digital downloadable media and audio files, all sales are final and non-refundable.
- If you encounter any technical issues downloading or extracting your files, please contact us immediately for a replacement link.
8. Modifications & Governing Law
FRMWRD reserves the right to adjust pricing, terms, and availability of licenses at any time without prior notice. Any existing purchases remain governed by the terms active at the time of transaction.
