Terms of Service & Beat Licensing Agreement

Welcome to FRMWRD (frmwrd.com). By accessing this website, previewing audio, or purchasing any beat licenses, you (the “Licensee”) agree to be bound by the following Terms & Conditions. These terms constitute a legally binding agreement between you and BabushkaBoi999 / FRMWRD (the “Licensor”).
1. Intellectual Property & Ownership
All musical compositions, instrumentals, and audio assets available on FRMWRD are the sole intellectual property of BabushkaBoi999 and are protected by international copyright laws.
A purchase constitutes a license to use, not a transfer of copyright. The Licensor retains 100% ownership of the underlying musical composition (the “Beat”) unless a separate Exclusive Rights Agreement is executed in writing.

3. Detailed Usage Rights
A. MP3 Lease (₦30,000.00)
- Grant of Rights: Non-exclusive license to create one (1) new “Song” by recording vocals over the Beat.
- Streaming: Limit of 100,000 cumulative streams (Spotify, Apple Music, etc.).
- Sales: Limit of 2,500 physical or digital units sold.
- Video: One (1) non-monetized video (e.g., social media clip or YouTube video without ads).
B. WAV Lease (₦50,000.00)
- Grant of Rights: Non-exclusive license to create one (1) new “Song.”
- Streaming: Limit of 500,000 cumulative streams.
- Sales: Limit of 10,000 physical or digital units sold.
- Broadcasting: Rights for up to two (2) local radio stations.
- Video: One (1) monetized music video on YouTube.
C. Unlimited Commercial License (₦100,000.00)
- Grant of Rights: Non-exclusive license with no expiration or usage caps.
- Streaming & Sales: Unlimited worldwide distribution.
- Broadcasting: Unlimited terrestrial, internet, and commercial radio airplay.
- Video: Unlimited monetized music videos.
4. Producer Credit Requirements
Proper credit is a mandatory condition of all licenses. Credit must be displayed on all platforms where the song is published:
- Title Formatting: Song Title (Prod. by FRMWRD) or (Prod. by BabushkaBoi999).
- Metadata: List “BabushkaBoi999” or “FRMWRD” in the “Producer” field.
- Social Media/Video: Include “Music produced by FRMWRD” and a link to frmwrd.com in the description.
5. Publishing & Royalties (50/50 Split)
Under all non-exclusive licenses, the following industry-standard royalty splits apply:
- Master Royalties: The Licensee owns the Master Recording (their vocals on the beat) and is entitled to the artist’s share of royalties.
- Publishing/Writer’s Share: The split shall be 50% Producer (BabushkaBoi999) and 50% Writer (Licensee).
- Performance Rights Organizations (PROs): You must register the song with your PRO (ASCAP, BMI, etc.) listing BabushkaBoi999 as a 50% composer/writer.
6. CONTENT ID WARNING (Strict Policy)
DO NOT register your song with YouTube Content ID, Shazam, or any automated “Fingerprinting” services (e.g., Identifyy, DistroKid Content ID, TuneCore Social).
Because these licenses are non-exclusive, other artists may be using the same beat. Registering the beat with Content ID will cause false copyright claims against other artists and the Licensor.
- Violation: Any breach of this clause will result in immediate termination of your license and may lead to legal action for damages caused to the Licensor’s business.
- Note: You CAN still monetize your videos on YouTube; you simply cannot “claim” the audio fingerprint.
7. Synchronization (Film, TV, Games)
Non-exclusive licenses do not include Synchronization Rights for high-budget media (Netflix, TV shows, Feature Films, Commercials). If you are approached for a sync placement, you must contact babuskaboi42@gmail.com to negotiate a separate Sync Clearance.
8. Prohibited Uses
The Licensee may not:
- Resell, loan, or lease the raw instrumental to any third party.
- Upload the raw, unvoiced beat to DSPs (Spotify, Apple Music, etc.).
- Use the beat in any way that promotes hate speech, illegal acts, or extreme defamation.
9. Delivery & Refund Policy
- Instant Delivery: All files are delivered via automated download links immediately after purchase.
- No Refunds: Due to the digital nature of these products, all sales are final. If a technical error occurs, please contact us for a replacement link.
10. Indemnification
The Licensee agrees to indemnify and hold harmless BabushkaBoi999 / FRMWRD from any and all claims, damages, or expenses arising from the Licensee’s use of the Beat, including any legal disputes regarding the Licensee’s lyrical content.
